STATEMENT

As publicly known, a court decision was issued on September 8, 2023, aimed at regulating noise levels resulting from the operation of the Estoril Circuit. This decision has been fully complied with by CE – Circuito Estoril, S.A. (“CE”). Committed to a spirit of continuous improvement in the operating conditions of the Estoril Circuit and its impact on the surrounding area, CE announces that, in early August 2025, it decided to exclude motorcycle track days from the list of events permitted at the circuit. This measure goes beyond the limitations imposed by the aforementioned court decision. Due to their nature, this resolution does not apply to sporting events (races or competitions), including training sessions for such events, as well as professional driver track training not associated with any sporting event.

The Estoril Circuit has always complied, and will continue to comply, with the legal rules regarding noise as well as what is determined in the sentence handed down by the Cascais Court, as can be confirmed in the monitoring reports on the company’s website. (Link)

CE further announces that, following the decision of April 24, 2025, to close Stand A, there is currently no anticipated date for the reopening of this infrastructure.

Estoril Circuit Commercial Policy

The rental of the sports facility known as “Autódromo Fernanda Pires da Silva” or “Autódromo do Estoril,” as well as the contracting of support services for the holding of motorsports events therein, are subject to strict compliance with the following procedure:

(i) Sending an expression of interest in leasing the sports infrastructure by sending an email to [dep.comercial@circuito-estoril.pt], indicating the type of event to be held, the desired dates for its completion, and any support services to be contracted;

(ii) Within a maximum period of five business days from the date of receipt of the aforementioned expression of interest, CE – Circuito Estoril, S.A. will send, by the same means, information on availability for the desired dates – and may, if applicable, present alternative dates – as well as the respective quote for the desired services;

(iii) The interested party must, within a maximum period of ten working days from receipt of the response provided for in the previous paragraph, confirm or deny, also by email to the address [dep.comercial@circuito-estoril.pt], their interest in reserving the sports infrastructure and contracting the desired support services on the dates initially indicated or, if applicable, on those suggested as an alternative by CE – Circuito Estoril, S.A.;

(iv) If interest in the reservation/contracting is confirmed, CE – Circuito Estoril, S.A. will send the interested party, within a maximum of five business days from the date of receipt of the confirmation provided for in the previous paragraph, a draft reservation contract. This contract must be formalized by the representatives of each party, and signed within a maximum of five business days from the date the interested party receives the draft contract.

(v) On the date the reservation contract is signed, the interested party will pay CE – Circuito Estoril, S.A., by bank transfer to the account indicated in the respective contract, the amount corresponding to 30% (thirty percent) of the quoted price. This payment is a condition for the contracted reservation to be effective.

(vi) The final contract for the rental of the sports infrastructure and the contracting of any desired support services will be executed by the parties at least sixty business days before the first scheduled date of use of the infrastructure.

(vii) Failure by the interested party to enter into the final contract will result in the loss of the amount paid upon entering into the reservation contract;

(viii) On the date of entering into the final contract, the interested party will pay CE – Circuito Estoril, S.A., by bank transfer to the account indicated in the respective contract, the amount corresponding to the remainder of the established price, corresponding to 70% (seventy percent) of the same.

In line with the commercial policy in force at CE – Circuito Estoril, S.A., we must inform you that any eventual scheduling that, up to the present date, has been informally transmitted to any service and/or employee of CE – Circuito Estoril, S.A. must be formalized in writing, through the execution of the respective reservation contract and payment of the amount corresponding to 30% (thirty percent) of the price, which must occur, without fail, by September 30, 2025, under penalty of the expression of interest in question being considered by CE – Circuito Estoril, S.A. as a non-serious business statement and, consequently, totally ineffective.
